Terms of Service

1. Agreement to Terms

These Terms of Service are an agreement between you and AgentCat, Inc. By creating an account or using AgentCat, you agree to these Terms and our Privacy Policy. In these Terms, "Customer," "you," and "your" mean you and any organization on whose behalf you are using AgentCat or that registered the account; "user" means an individual who accesses the service under your account, such as a member of your organization you invite. If you are an individual acting on behalf of an organization, you represent that you have authority to bind it. If you have a separate signed agreement with AgentCat covering the service, that agreement governs instead of these Terms. The effective date above is the date these Terms take effect for customers who accepted an earlier version; if you first create your account after these Terms are posted, they apply to you from account creation. If you do not agree, do not use our service.

2. Description of Service

AgentCat provides analytics and debugging tools for MCP (Model Context Protocol) servers. We help developers understand how end users interact with their AI tools through session recording, replay, and analytics. Subject to these Terms, we hereby grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use AgentCat.

3. Account Registration

You are responsible for maintaining the security of your account and for all activities under your account. Accounts are personal: you shall not share account credentials, and each member of your organization who uses AgentCat must do so under their own account. You are responsible for all use of the service by your users and for their compliance with these Terms, as if such use were your own.

4. Acceptable Use and Prohibited Data

You shall not, and shall not permit your users to:

  • Use AgentCat for any illegal purposes
  • Attempt to compromise or abuse our systems
  • Interfere with or disrupt the service or other customers' access to it
  • Reverse engineer or attempt to extract our source code
  • Modify or create derivative works of the service or, except as permitted by the open-source license that accompanies it, our SDK
  • Access the service through scraping, crawlers, or other automated means not provided by us
  • Resell, rent, or white-label AgentCat to third parties
  • Use AgentCat to build a competing product, or for competitive benchmarking

You may install our SDK only on MCP server implementations that you own or control.

Prohibited Data. Do not send us passwords, credentials, API keys, or access tokens; payment card data; health or medical information; government-issued identification numbers; biometric data; or personal information of children (together, "Prohibited Data"). Our redaction features are best-effort filters: they reduce the chance that sensitive data is stored, but we do not guarantee they will catch everything, and keeping Prohibited Data out of your events remains your responsibility. You are responsible for enabling and configuring the redaction features appropriate for your data, and using them does not guarantee de-identification, anonymization, or compliance with any privacy or data-protection law. Prohibited Data sent in violation of this section is not Customer Data (as defined in Section 6), and we may delete it when we become aware of it.

5. Pricing and Payment

Current plans, prices, included session volumes, and overage rates are published at agentcat.com/pricing. Paid plans renew automatically and are billed on a recurring basis until you cancel. Cancellation takes effect at the end of your current billing period; you keep access until then. Usage beyond your plan's included volume — including metered sessions and AI analysis features — is billed at the rates posted on the pricing page. Prices do not include taxes; you are responsible for any sales, use, VAT, or similar taxes, and we are responsible for taxes on our income. We may change our prices or introduce new fees at any time. A price increase or new fee takes effect at your next renewal, and we will notify you before it applies to you — by email, or through a shared messaging channel such as Slack where that is how we normally communicate with you; decreases can take effect immediately. Refunds are handled on a case-by-case basis except where these Terms say otherwise (see Section 10) — contact hi@agentcat.com.

6. Your Data

You own your data. As between you and AgentCat, you retain all right, title, and interest in the data you or your MCP servers send to AgentCat, excluding Prohibited Data ("Customer Data"). You hereby grant us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Data solely to (a) provide, maintain, secure, and improve the service, (b) respond to your support requests, and (c) comply with applicable law. Except as set out in this section, no rights in Customer Data are granted to us. We will not sell Customer Data. We may use Customer Data to train or fine-tune machine learning or artificial intelligence models solely for your benefit and use.

We may create and use statistics that are de-identified and aggregated across customers, provided they do not identify you, your projects, or your end users; we will not attempt to re-identify them.

Your end users. Our SDK captures interactions between your end users and your MCP servers by default, including tool-call parameters, responses, and error payloads. You are responsible for giving your end users any legally required notices and obtaining any legally required consents — including, where required, notice that interactions are recorded and may be replayed — and claims your end users bring relating to your use of AgentCat are your responsibility. We make no representation that your particular deployment is permitted under applicable law.

Your use of AgentCat is also governed by our Privacy Policy.

7. Our Intellectual Property and Feedback

AgentCat — including all software, algorithms, interfaces, documentation, and technology used to provide the service, and all improvements, modifications, and derivative works of any of the foregoing — is and remains the exclusive property of AgentCat, Inc. and its licensors. Our SDKs are licensed to you under the open-source licenses that accompany them, which govern your use, modification, and distribution of the SDKs. Except for the rights expressly granted in Section 2, nothing in these Terms grants you or your users any right, title, or interest in or to any of the foregoing, whether by implication, estoppel, or otherwise.

If you or your users provide us with suggestions, ideas, or other feedback about the service, you hereby grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use and exploit that feedback for any purpose, including testing, developing, maintaining, and improving the service, without restriction or compensation.

8. Publicity

You hereby grant us a limited, non-exclusive, royalty-free license to use your organization's name and logo to identify you as an AgentCat customer on our website and in our marketing materials. We will conform to any brand guidelines you provide to us, and all goodwill arising from use of your marks inures to your benefit. You may revoke this license at any time by emailing hi@agentcat.com, and we will cease new uses within 30 days.

9. Confidentiality

Each party may receive non-public information of the other party that is designated confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure ("Confidential Information"). Customer Data is your Confidential Information; the non-public elements of the service, our documentation, and our security information are ours. The receiving party shall use the disclosing party's Confidential Information only as necessary to perform under these Terms, shall protect it with at least reasonable care, and shall disclose it only to employees, contractors, and advisors who need to know it and are bound by confidentiality obligations at least as protective as this section. These obligations do not apply to information that (a) is or becomes publicly known through no breach of this section, (b) was rightfully known to the receiving party before disclosure, (c) is independently developed without use of the Confidential Information, or (d) is rightfully received from a third party without restriction; and they do not prohibit disclosure required by law or court order, provided the receiving party gives the disclosing party reasonable prior notice where legally permitted. These obligations continue for five years after disclosure and, for any trade secret, for as long as it remains a trade secret under applicable law.

10. Cancellation, Termination, and Data Deletion

You may cancel your account or delete a project at any time.

We may suspend or terminate your access if you materially violate these Terms. If the violation can be fixed, we will notify you and give you 30 days to fix it before terminating; for serious violations — such as illegal use, attempts to compromise our systems, or repeated submission of Prohibited Data — we may suspend or terminate immediately. We may also terminate any account with at least 30 days' notice, in which case we will refund any prepaid fees covering the period after termination.

After cancellation or deletion, your data remains available for export for 30 days, after which it is permanently and irreversibly deleted. If we terminate your account for a violation of these Terms, or where required by law, we may delete data immediately.

Provisions that by their nature should survive termination of these Terms survive it — including Our Intellectual Property and Feedback, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and General Terms — together with your obligation to pay any fees accrued before termination.

11. Disclaimers

AGENTCAT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE OR SPECIFIC UPTIME LEVELS, AND WE MAY MODIFY OR DISCONTINUE FEATURES AT ANY TIME.

SOME AGENTCAT FEATURES USE AI TO ANALYZE YOUR DATA, SUCH AS SESSION GOALS, CATEGORIZATIONS, AND SUMMARIES. AI-GENERATED OUTPUT IS PROBABILISTIC AND MAY BE INACCURATE OR INCOMPLETE; YOU ARE SOLELY RESPONSIBLE FOR VERIFYING IT BEFORE RELYING ON IT FOR ANY IMPORTANT DECISION.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $1,000.

THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 13, OR EITHER PARTY'S FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.

13. Indemnification

You shall defend, indemnify, and hold harmless AgentCat, Inc. from third-party claims — and related costs, including reasonable attorneys' fees — arising from (a) your use of the service in violation of these Terms, (b) data you or your MCP servers send to AgentCat, including any Prohibited Data, or (c) claims by your end users relating to your use of AgentCat, including any failure to provide required notices or obtain required consents. We will promptly notify you of any claim covered by this section and reasonably cooperate at your expense; you may control the defense, but you may not settle any claim that imposes obligations on us without our consent.

14. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will email you at least 30 days before it takes effect; other changes take effect when posted on this page, and the effective date always appears at the top. If you keep using AgentCat after a change takes effect, you accept the updated Terms. If you do not agree to a change, cancel your account before it takes effect.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. The state and federal courts located in New York County, New York have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms, and both parties consent to their jurisdiction.

16. Data Processing Addendum

Our Data Processing Addendum, available at agentcat.com/dpa, is hereby incorporated into these Terms and applies whenever we process personal data on your behalf.

17. General Terms

Unless a separate signed agreement governs under Section 1, these Terms (together with the Data Processing Addendum and the plan and pricing details published at agentcat.com/pricing) are the entire agreement between you and AgentCat regarding the service, and supersede any other statements, including in our documentation or marketing materials. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms do not create any rights for anyone other than you and AgentCat; there are no third-party beneficiaries.

Assignment. Neither party may assign these Terms without the other party's prior written consent, except that either party may assign them without consent to an affiliate or to a successor in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any other attempted assignment is void. These Terms bind and benefit the parties' permitted successors and assigns.

Force majeure. Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including cloud-infrastructure or telecommunications failures, denial-of-service and other malicious attacks, labor disputes, governmental actions, epidemics, war, and natural disasters.

Export compliance. You represent that you are not named on any U.S. government denied-party list, and you shall comply with all applicable U.S. export control and sanctions laws in accessing and using the service.
